I would like to add a script (openx) that would rotate BANNERS to the RIGHT of my LOGO.

Which file needs to be edited??

Please Note: I want the BANNER to be located beside the LOGO but located UNDER the MY CART, CHECKOUT Menu.
just under the Your Language: Selection. As shown in image provided.

any help would be appreciated

You’d be best posting this on the designers forum although it looks like you’re using a custom theme so you’d probably get a better response by asking the theme developer for help

If the theme you are using is somehow similar to the default theme you need to edit this file app/design/frontend/{interface}/{theme}/page/html/header.phtml.
Yo can add the openx invocation code before a line that contains

$this->getLogoSrc()

If there is no such line, you can play around in the file and place it where ever you want.

I Will try this out, but i have 2 websites i would like to rotate banners on, i think i need to sign up for the hosting of openx
since the free version does not allow u to rotate banners on more then 1 website.
