necessary fields for importing are “store” and “sku”
check out exporting - field mapping

I had store set and was getting this error due to special characters in the file, haven’t figured out a way around that yet but this thread may be useful to you: http://www.magentocommerce.com/boards/viewthread/5088/P45/#t28633
